Kensington English Affiliate Agreement
Version 1.0 — Effective date: 1 May 2026
This Agreement is between Kensington English ("Company") and the individual applying to become an affiliate ("Affiliate"). By accepting this Agreement, the Affiliate agrees to the terms below.
1. Programme Overview
The Kensington English Affiliate Programme allows approved individuals to earn commission by referring prospective students to Kensington English courses. The Affiliate receives a unique referral link that tracks enrolments.
2. Commission Structure
- Commission rate: 30% of the net course tuition paid by the referred student.
- Commission is calculated on the final amount collected after any promotional discounts.
- All courses offered by Kensington English are eligible for commission.
- Commission is earned only on fully paid enrolments. Partial payments, payment plan instalments, and cancelled enrolments do not generate commission until full payment is confirmed.
3. Cookie & Attribution Window
- A referral is attributed to the Affiliate if the student enrols within 90 days of first clicking the Affiliate's referral link.
- If a student has clicked multiple affiliate links, the most recent click takes precedence (last-click attribution).
4. Payout Terms
- Minimum payout threshold: £100. Earnings below this are carried forward to the next cycle.
- Payments are processed monthly, on or before the 1st of each calendar month, for conversions confirmed in the prior calendar month.
- A 30-day hold applies from the date of payment to allow for refund processing. Commissions are released after the hold period.
- Payouts are made via Stripe Connect to the Affiliate's bank account. The Affiliate is responsible for providing accurate banking details.
- Kensington English is not responsible for delays caused by incorrect banking information.
5. Affiliate Obligations
- The Affiliate must accurately represent Kensington English and its courses.
- The Affiliate must clearly disclose that they receive a commission for referrals, in accordance with ASA/FCA guidelines and applicable law.
- The Affiliate must not run paid advertisements using Kensington English brand keywords (e.g., "Kensington English", "kensingtonenglish.co.uk") on Google, Meta, or any other platform.
- The Affiliate must not make false, misleading, or exaggerated claims about Kensington English courses, outcomes, or accreditation.
- The Affiliate must not use spam, unsolicited mass email, or automated bot traffic to generate referrals.
- Self-referrals (the Affiliate enrolling themselves or immediate family members via their own link) are not eligible for commission.
6. Intellectual Property
Kensington English grants the Affiliate a non-exclusive, revocable licence to use its logo, brand name, and course materials solely for the purpose of promoting courses through the Programme. The Affiliate must not alter, distort, or misrepresent any brand assets.
7. Termination
- Either party may terminate this Agreement with 30 days' written notice by email.
- Kensington English may terminate the Agreement immediately if the Affiliate breaches any of the obligations in Section 5.
- Upon termination, any earned and released commission will be paid in the next regular payout cycle. Commissions still within the 30-day hold period at termination are forfeited.
8. Relationship of Parties
The Affiliate is an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship.
9. Limitation of Liability
Kensington English's total liability to the Affiliate under this Agreement shall not exceed the commission earned in the preceding 3 months. Kensington English is not liable for indirect or consequential losses.
10. Amendments
Kensington English may update this Agreement by providing 30 days' notice to the Affiliate's registered email. Continued participation in the Programme after the notice period constitutes acceptance.
11. Governing Law
This Agreement is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
